Agreement and eligibility
These Application Terms of Service are a binding agreement between KeystonePro and the business or other legal entity that accepts them or uses the Services, called the Customer. If you use the Services for a Customer, you represent that you have authority to bind that Customer. These terms also apply to each person the Customer authorizes to use the Services.
You must be at least 18 years old and able to enter into a binding agreement. By creating an account, accepting an order form, starting a trial, or using the Services, you agree to these terms and the Privacy Policy. An order form or separate written agreement may add to or modify these terms. If there is a conflict, the order form or signed agreement controls for that Customer.
Accounts and authorized users
Customer is responsible for accurate account information, its authorized users, account permissions, and all activity under its accounts. Login credentials must be kept confidential and may not be shared except through permitted user accounts. Customer must promptly notify KeystonePro of suspected unauthorized access or security incidents involving the Services.
Customer is responsible for ensuring that its users comply with these terms and for obtaining any notices, permissions, or consents needed to provide personal information and business records to KeystonePro.
The Services
KeystonePro provides software and related services for service businesses. Features may include lead management, estimating, proposals, approvals, scheduling, projects, time records, job documentation, punch lists, goals, analytics, integrations, content creation, social media management, organic search support, site auditing, competitor analysis, and AI-assisted recommendations.
We may improve, add, modify, or discontinue features. We will not materially reduce the core paid functionality during a current subscription term without reasonable notice, except where necessary for security, legal compliance, or third-party service changes. Preview, beta, or experimental features may change or end at any time and are provided as available.
Subject to these terms and payment of applicable fees, KeystonePro grants Customer a limited, nonexclusive, nontransferable right for its authorized users to access and use the Services for Customer's internal business operations during the subscription term.
Trials, subscriptions, and billing
The standard KeystonePro trial lasts seven days and requires a valid payment method at signup. The trial begins when payment setup is completed. Unless Customer cancels before the trial ends, the selected paid subscription begins automatically on day eight and the payment method will be charged.
The annual plan is $299 per month, billed as $3,588 at the start of each annual subscription period. The monthly plan is $349 billed at the start of each monthly subscription period. Applicable taxes may be added. Subscriptions renew automatically for the same period until canceled or renewal billing is paused under the failed-renewal policy below. Customer authorizes KeystonePro and its payment processor to charge the selected payment method for recurring fees and taxes.
Customer may cancel through available account controls or by contacting support. Cancellation during the trial prevents the first charge. Cancellation after a paid period begins takes effect at the end of that period unless an order form says otherwise. Fees are nonrefundable except where required by law or expressly stated in an order form. We may change pricing for a future renewal period by giving reasonable advance notice.
Failed renewals and restoring access
Monthly and annual plans receive seven days of full-access grace from the first confirmed renewal payment failure. This is a KeystonePro product policy, not a payment-provider requirement. The business can continue operating during that period while an admin resolves the payment issue. Later attempts for the same invoice do not restart the grace period.
Payment attempts and notices
- On the renewal date, we attempt the primary card. If it is declined, KeystonePro emails the billing contact, explains the next attempt, and displays an admin billing notice.
- After 24 hours, we retry the primary card once, only where the decline permits a retry. If that retry fails, we attempt an authorized backup card once, subject to the safety exceptions below.
- A successful primary retry generates a receipt and clears the billing warning. A successful backup payment keeps full access, generates a receipt identifying the card used, and asks the admin to resolve the primary-card issue. The backup is not automatically made the primary card.
- If no authorized backup is available or the backup attempt fails, we email the outstanding amount, a billing link, and the exact date and time access will be restricted. We stop automatic charge attempts for that invoice.
- If the invoice remains unpaid on day five, we send a final reminder that full access ends in 48 hours. At the end of day seven, we restrict the business account and send confirmation.
Backup-card authorization
An admin must explicitly authorize a backup card through a separate, initially unselected consent control when adding it. The consent explains the primary-first attempt, the permitted retry 24 hours later, and the subsequent backup attempt. We record the consenting user, timestamp, card reference, and consent version. Replacing a backup requires fresh consent; removing it cancels its authorization.
What restricted access means
A payment restriction is read-only access, not a complete login lockout. Admins can manage billing, pay the outstanding invoice, and contact support. Users can view records they already have permission to access. Editing and paid AI and automation activity pause. No records are deleted because a payment failed.
Incoming webform submissions are held in bounded storage without paid processing. Admins are notified when storage limits affect collection rather than having incoming leads silently discarded. We stop generating additional subscription renewal charges while the account is restricted, instead of accumulating further renewal invoices. The existing outstanding invoice remains payable.
Paying and restoring access
An admin can open Billing & Plan, review the outstanding invoice, update or select a card, and explicitly choose Pay and restore access with the amount displayed. Saving a card alone does not charge it or restore access. Once KeystonePro verifies successful payment, full access is restored automatically, pending retries for that invoice are canceled, and confirmation is sent.
Payment safety exceptions
A timeout or unknown transaction outcome is not a confirmed decline. We verify the original transaction before retrying or using a backup to avoid duplicate charges. Fraud flags, revoked authorization, and declines that prohibit retries are handled separately from the automatic sequence. A removed or unauthorized backup is not charged.
Failures caused by KeystonePro or its processor, including KeystonePro's merchant processing limits, are not treated as customer card failures and do not start the payment-restriction clock. Security, fraud, and legal restrictions remain separate from this renewal-payment policy.
Customer data and content
As between the parties, Customer retains ownership of information, records, photos, documents, instructions, trademarks, and other content submitted to or connected with the Services, called Customer Data. Customer grants KeystonePro a worldwide, limited license to host, copy, transmit, modify, display, and otherwise process Customer Data only as needed to provide, secure, support, and improve the Services, comply with law, and follow Customer's instructions.
Customer represents that it has all rights and permissions needed for KeystonePro to process Customer Data. Customer must not submit highly sensitive information that the Services are not designed to receive, including Social Security numbers, financial account credentials, protected health information, or full payment card data, unless KeystonePro expressly supports that information in writing.
Customer may export or request return of Customer Data using available features. After termination, we may delete Customer Data according to our retention practices, legal obligations, and any applicable order form or data processing agreement.
Assisted onboarding imports are covered by the Data Import Policy and the agreed written import scope. Standard imports are included. Additional work for unusually large datasets or extensive cleanup requires written approval of its scope and charges before it begins.
AI and marketing features
The Services may use artificial intelligence and automated systems to classify leads, summarize records, draft content, identify patterns, estimate outcomes, and recommend operational or marketing actions. Outputs may be inaccurate, incomplete, similar to content generated for others, or unsuitable for a particular purpose.
Customer is responsible for human review and approval before publishing content, communicating with a customer, changing advertising spend, making employment decisions, entering a contract, or taking other consequential action. KeystonePro does not guarantee leads, rankings, revenue, conversion rates, profitability, or any particular business outcome.
Customer is responsible for ensuring that marketing, calls, email, text messages, social posts, claims, promotions, reviews, and generated content comply with applicable law, platform rules, professional standards, and third-party rights.
Third-party services
The Services may connect with payment processors, analytics providers, advertising platforms, social networks, communications tools, accounting products, and other third-party services. Customer authorizes KeystonePro to exchange Customer Data with a connected service as needed to operate the integration.
Third-party services are governed by their own terms and privacy practices. KeystonePro does not control and is not responsible for those services, their availability, or changes they make. Disabling an integration may limit related features.
Acceptable use
Customer and its users may not:
- Use the Services unlawfully, deceptively, fraudulently, or to violate another person's rights.
- Upload malware, interfere with security, probe vulnerabilities, or disrupt the Services.
- Attempt to access another customer's data or accounts without authorization.
- Reverse engineer, copy, resell, sublicense, or create a competing service from the Services except where law expressly permits.
- Use automated means to extract data or place unreasonable load on the Services without written permission.
- Send spam or unlawful calls, emails, text messages, advertisements, or content.
- Use the Services to make unlawful decisions about employment, housing, credit, insurance, health care, or other legally protected matters.
- Submit content that infringes intellectual property, privacy, publicity, confidentiality, or other rights.
We may investigate suspected violations and take proportionate action to protect users, third parties, and the Services.
Ownership and feedback
KeystonePro and its licensors own the Services, software, interfaces, documentation, models, designs, trademarks, and related intellectual property. No rights are granted except the limited access right stated in these terms.
If Customer provides suggestions or feedback, KeystonePro may use them without restriction or payment, provided we do not publicly identify Customer as the source without permission. We may create and use aggregated or de-identified information that does not reasonably identify Customer or an individual.
Suspension and termination
Ordinary failed renewals follow the seven-day grace and read-only access policy above. Payment restriction alone does not terminate the agreement or cause Customer Data to be deleted.
Either party may terminate as stated in an order form or if the other party materially breaches the agreement and does not cure the breach within a reasonable notice period. We may immediately suspend access when reasonably necessary to prevent harm, address a security threat, comply with law, respond to prohibited use, or protect the Services.
When the agreement ends, Customer's right to use the Services ends. Payment obligations accrued before termination and provisions that by their nature should survive will remain in effect, including ownership, disclaimers, limitations of liability, indemnity, and general terms.
Disclaimers
To the maximum extent permitted by law, the Services are provided "as is" and "as available." KeystonePro disclaims implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement. We do not warrant that the Services will be uninterrupted, error free, completely secure, or that every output, recommendation, integration, or third-party data source will be accurate or available.
The Services do not provide legal, tax, accounting, employment, safety, engineering, or other professional advice. Customer remains responsible for its business decisions, jobsite practices, contracts, estimates, regulatory obligations, and communications.
Liability and indemnity
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data, even if advised that such damages were possible.
Except for amounts Customer owes, a party's indemnity obligations, infringement or misuse of intellectual property, violation of acceptable use, or liability that cannot legally be limited, each party's total liability arising from the Services will not exceed the fees paid or payable by Customer to KeystonePro for the Services during the 12 months before the event giving rise to the claim.
Customer will defend and indemnify KeystonePro and its affiliates, officers, and personnel from third-party claims arising from Customer Data, Customer's products or services, Customer's unlawful or unauthorized use of the Services, or Customer's breach of these terms. KeystonePro will promptly notify Customer and reasonably cooperate in the defense. Customer may not settle a claim in a way that admits fault by or imposes obligations on KeystonePro without written consent.
General terms
Neither party is liable for delay caused by events beyond its reasonable control. Customer may not assign the agreement without KeystonePro's written consent, except as part of a merger or sale of substantially all of its business. KeystonePro may assign the agreement as part of a reorganization, financing, merger, acquisition, or sale of assets.
The governing law and courts identified in an order form apply. If an order form does not identify them, the laws and courts of the jurisdiction where KeystonePro maintains its principal office apply, without regard to conflict-of-law rules. Before filing a claim, the parties will make a good-faith effort to resolve the dispute through written notice and direct discussion.
Notices may be delivered electronically. These terms, the Privacy Policy, applicable order forms, and any signed data processing agreement are the complete agreement about the Services. If a provision is unenforceable, the remaining provisions stay in effect. Failure to enforce a provision is not a waiver.
We may update these terms for future use of the Services. If a change materially affects an existing subscription, we will provide reasonable notice. Continued use after the effective date constitutes acceptance where permitted by law.
Questions about these terms may be sent to legal@keystonepro.com or through the support channel in your KeystonePro account.
